In the unlikely event that differences concerning our services or fees should arise that are not resolved by mutual agreement, to facilitate judicial resolution and save time and expense of both parties, Customer’s Name and CYBERSECOP agree to submit any disputes, breaches, or issues related to this agreement to non-binding mediation before a single mediator in the State of New York, USA. This Agreement will be governed under New York law, without giving effect to the choice of law or conflict of laws provisions thereof. In the case of any cause of action, Company may have with respect to the Services must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. In addition, the parties consent to jurisdiction and venue in the state and federal courts located in New York City, New York. In addition, all matters concerning this agreement and any dispute or issue, including the mediation, will be kept confidential. The parties will also agree to mediate any dispute or issue as soon as reasonably possible.
Subject to CYBERSECOP’s Disclaimer as set forth in the Terms of Service Agreement, CYBERSECOP warrants that the services provided hereunder shall be performed in a reasonable and professional manner. No software, hardware or network equipment is guaranteed to work one hundred percent of the time. CYBERSECOP, in no way, guarantees that the implementation and the services of 3rd party providers performed will be one hundred percent stable. The utmost care will be taken to maximize the stability of all systems, but no complete guarantee or warranty can be made. In most cases, instability in a technology infrastructure is caused by one or more of the following: 1) the existence of different technology policies or procedures among multiple interrelated company entities, 2) the influence of uncontrollable environmental factors, 3) the unpredictable nature of software vulnerabilities or 4) Force Majeure. These factors can and do contribute to uncertainty in the performance of all solutions, whether free or commercial, CYBERSECOP’s systems not being exempted. Furthermore, the efficiency of all software and hardware depends on its proper use. If the implemented systems are misused or not used at all, they may not function as intended or provide the desired benefits to Customer’s Name.
Limitation of Liability
EXCEPT WITH RESPECT TO CLAIMS ARISING FROM WILLFUL MISCONDUCT OR A BREACH OF THE CONFIDENTIALITY PROVISION IN THIS AGREEMENT, THE MAXIMUM AGGREGATE LIABILITY OF (Customer’s Name ) AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VENDORS OR AGENTS FOR ANY ACTION REGARDLESS OF THE FORM OF THE ACTION, WHETHER IN TORT OR CONTRACT, ARISING UNDER OR RELATED IN ANY WAY TO THIS AGREEMENT OR ITS IMPLEMENTATION SHALL BE LIMITED TO THE AMOUNT OF FEES PAYABLE TO CYBERSECOP UNDER THE APPLICABLE STATEMENT OF WORK. IN NO EVENT SHALL COMPANY NAME BE LIABLE FOR CONSEQUENTIAL, SPECIAL, PUNITIVE OR INCIDENTAL DAMAGES OR OTHER DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, LOST DATA DUE TO THE SUPPORT SERVICES PERFORMED BY CYBERSECOP, AND NOT FOR PHYSICAL DEVICE DEFECT, LOST REVENUES OR LOST PROFITS, ARISING OUT OF OR RELATED IN ANY WAY TO THIS AGREEMENT OR ITS IMPLEMENTATION, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SUCH LIMITATION SHALL BE AGGREGATE FOR THE TERM OF THE CONTRACT AND NOT ON A “PER INCIDENT” BASIS.
